Terms of Sale

These Terms of Sale govern the sale of digital products offered on StackArt (https://stackart.dev), to both consumers (individuals) and business customers.

1. Purpose and scope

These Terms of Sale govern the sale of digital products (templates, boilerplates, source code, documentation and associated licenses, the "Products") sold by Nardella Victor (French sole trader) through the StackArt website.

Any order implies prior and unreserved acceptance of these Terms of Sale. They apply to both consumer and business customers; provisions specific to consumers are flagged as such.

2. Products

The Products are digital goods provided in dematerialized form (access to a code repository, downloadable files and/or online documentation). The essential characteristics of each Product are described on its page, on the Products page.

The Products are provided with a usage license, the conditions of which are set out in section 7.

3. Prices

Prices are shown on the Website in euros. TVA non applicable, art. 293 B du CGI: unless stated otherwise, displayed prices are net (no VAT charged). The applicable price is the one in force when the order is confirmed.

The publisher may change its prices at any time, it being understood that the applicable price is the one displayed at the time of the order.

4. Order

The order process includes the following steps:

  • •selecting the Product and proceeding to payment;
  • •creating or signing in to an account;
  • •reviewing the order summary;
  • •accepting these Terms of Sale;
  • •payment.

The sale is final once payment is confirmed and a confirmation email summarizing the order is sent.

5. Payment

Payment is made online by card or any other offered method, through our secure payment provider Stripe. The publisher never has access to your full card details, which are processed directly by Stripe in accordance with applicable security standards (PCI-DSS).

The order is only validated after the payment is effectively accepted. If payment is declined, the order is automatically cancelled.

6. Delivery and access

As the Products are digital, "delivery" means making the Product immediately available after payment confirmation: repository access, download link and/or unlocking of documentation from your customer area.

7. Usage license

Unless specific conditions are stated on the Product page, the purchase grants the customer a non-exclusive, worldwide, perpetual license to use the Product, under the following conditions.

Permitted

  • •use the Product to create and operate projects, including commercial ones;
  • •modify and adapt the code for your own needs;
  • •use the Product for an unlimited number of your own projects.

Prohibited

  • •reselling, redistributing, sharing or publishing the Product as-is or in a substantially similar form (in particular as a template, starter kit or direct competitor);
  • •making the source code publicly available (public repository, marketplace, etc.);
  • •sharing your access with third parties not covered by the license.

Any breach results in immediate termination of the license, without refund.

8. Right of withdrawal (consumers)

In accordance with Article L.221-28 13° of the French Consumer Code, the right of withdrawal cannot be exercised for the supply of digital content not provided on a tangible medium where performance has begun after the consumer's prior express consent and express waiver of the right of withdrawal.

By confirming the order, the consumer customer:

  • •expressly requests immediate performance of the supply of the digital Product before the end of the 14-day withdrawal period;
  • •acknowledges and accepts that they lose their right of withdrawal as soon as download or access to the Product begins.

If access to the Product has not yet been opened, the consumer customer retains their 14-day right of withdrawal and may exercise it by writing to support@stackart.dev.

This waiver is requested at checkout. As long as you have not accessed the Product, you can still withdraw.

9. Legal guarantees (consumers)

The consumer customer benefits from the following legal guarantees, independently of any commercial warranty:

  • •the legal guarantee of conformity (Articles L.217-3 et seq. of the Consumer Code), allowing non-conforming digital content to be brought into conformity;
  • •the guarantee against hidden defects (Articles 1641 et seq. of the Civil Code).

For digital Products, the guarantee of conformity applies for the entire period of supply, and at least for the periods provided by law. Any claim may be sent to support@stackart.dev.

10. Refunds

Given the digital nature of the Products and the waiver of the right of withdrawal (section 8), no refund request can be accepted once access to the Product has been opened, except for:

  • •a proven lack of conformity not corrected within a reasonable time;
  • •inability to access the Product due to the publisher.

Any refund is made using the same payment method used for the order.

11. Liability

The Products are provided "as is"; it is the customer's responsibility to verify that they meet their needs. The publisher does not warrant that the Products will meet specific undisclosed requirements, nor that they will operate without interruption or error in all environments.

For business customers, and to the extent permitted by law, the publisher's liability is limited to the amount paid for the relevant Product and excludes any indirect damage (loss of data, revenue, or customers). These limitations do not apply to damage resulting from gross negligence or wilful misconduct, nor do they affect consumer rights.

12. Support

Support is provided as stated on the Product page. The indicative response time is 48 heures ouvrées. Support covers installation help and bug fixes, excluding development of specific features.

13. Personal data

Data collected as part of the order is processed in accordance with the Privacy Policy.

14. Governing law and dispute resolution

These Terms of Sale are governed by French law.

In the event of a dispute, consumer customers may use a consumer ombudsman free of charge for an amicable resolution. The European online dispute resolution platform is also available: https://ec.europa.eu/consumers/odr.

Failing an amicable resolution, any dispute will be brought before the competent French courts, subject to mandatory consumer protection rules.
